F. 7. Account Termination
A. If the user is determined to be a repeat infringer, Narwhaler LLC will terminate a user\'s access to the Service.

10. Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Narwhaler LLC, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney\'s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Service. You are familiar with Section 1542 of the Civil Code of the State of California, which provides as follows: • A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor. You waive and relinquish any right and benefit which you may have under Section 1542 and under any similar laws of any state or territory of the United States or other jurisdictions to the extent that you may lawfully do so in connection with the subject matter of this agreement.
11. Assignment
These Terms of Service, and any rights and licenses granted hereunder, may not be assigned by you without Narwhaler LLC’s prior written consent, but may be assigned by Narwhaler LLC without restriction.
12. General
These Terms of Service shall be governed by the substantive laws of the State of Delaware, without respect to its conflict of laws principles. Any claim or dispute between you and Narwhaler LLC that arises in whole or in part from the Service shall be decided exclusively by a court of competent jurisdiction located in Wilmington, Delaware. These Terms of Service shall constitute the entire agreement between you and Narwhaler LLC. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of this these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Narwhaler LLC\'s failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. Your use of the Service following any amendment of these Terms of Service will signify your assent to and acceptance of its revised terms. YOU AND NARWHALER LLC AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

· A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled.
· Your name, address, and telephone number, and a statement that you consent to the jurisdiction of Federal District Court for the judicial district in which the addressee is located, or if your address is outside the United States, for any judicial district in which you may be found, and that you will accept service of process from the person who provided Notification under Subsection (c)(1)(C) or an agent of such person.
· Our Designated Agent will present your Counter-Notification to the person who filed the infringement complaint Notice. Once your Counter-Notification has been delivered, narwhaler.com is allowed under the provisions of Section 512 to restore the removed material in not less than ten or more than fourteen days, unless the complaining party serves notice of intent to obtain a court order restraining the restoration
Repeat Infringers
It is narwhaler.com’s policy to terminate users or webmasters who are found to be repeat infringers. Further, narwhaler.com has the discretion to handle non-compliant Notices in whatever manner appears to be reasonable under the given circumstances.
